1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "Client," or "user") and Your Verified Now LLC, a New Jersey limited liability company doing business as My Professional Directory ("MyProDirectory," "we," "us," or "our"). These Terms govern your access to and use of the website located at myprodirectory.com and any associated subdomains (collectively, the "Website"), and the products, services, and deliverables we provide (collectively, the "Services").

By accessing or using the Website, by enrolling in or purchasing any Service, or by clicking to accept or agree to these Terms where that option is made available, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access the Website or use the Services.

If you are entering into these Terms on behalf of a company, business, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you," "your," and "Client" refer to that entity.

2. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Services. The Services are intended for businesses and business owners and are not directed to consumers acting for personal, family, or household purposes. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate, current, and complete.

3. Description of Services

MyProDirectory provides business listing verification, Google Business Profile optimization, voice search optimization, citation management, and related online visibility and reputation services. The specific scope, deliverables, fees, and timelines applicable to you are set forth on the Website, in your order or checkout summary, and in any separate written service agreement, statement of work, or proposal between you and us (collectively, your "Service Agreement"). In the event of a conflict between these Terms and a signed Service Agreement, the signed Service Agreement controls with respect to the conflicting term.

We may modify, enhance, suspend, or discontinue any aspect of the Services at any time, including the availability of any feature, third-party integration, or directory. We will use commercially reasonable efforts to notify you of material changes that affect Services you are actively receiving.

4. Nature of Services; No Guarantee of Results

You acknowledge and agree that:

• Third-party platforms. Many of our Services depend on third-party platforms, search engines, voice assistants, maps providers, and online directories (including but not limited to Google, Apple, Bing, and Yelp) that we do not own or control. These platforms set and change their own rules, algorithms, ranking factors, eligibility criteria, and approval processes at their sole discretion.
• No guaranteed outcomes. We do not and cannot guarantee any specific search ranking, placement, call volume, lead volume, sales, revenue, impressions, conversions, or other business outcome. Any timelines, projections, or examples we provide are estimates only and are not promises of results.
• Platform decisions. Approval, suspension, rejection, or removal of any listing or profile is ultimately determined by the relevant third-party platform. We are not responsible for a platform's refusal to publish, its suspension of a profile, or its removal of content, including for reasons outside our control.
• Client cooperation. Timely performance of the Services depends on your cooperation, including providing accurate business information, access credentials where required, verification documents, and prompt responses to our requests. Delays caused by you may extend timelines and are not our responsibility.

5. Client Responsibilities and Acceptable Use

You agree to:

• Provide accurate, lawful, and non-misleading information about your business, and to keep that information current.
• Hold all necessary rights, licenses, and authority to the business, locations, trademarks, content, images, and listings that are the subject of the Services, and to authorize us to act on your behalf with respect to them.
• Comply with the terms of service, guidelines, and policies of any third-party platform on which your listings appear, including Google Business Profile guidelines.
• Not use the Services to publish false, deceptive, fraudulent, defamatory, infringing, or unlawful content, to misrepresent your business, to manipulate reviews, or to create listings for businesses you do not own or are not authorized to represent.
• Not use the Services in connection with any illegal activity, or for any business or content prohibited by applicable law or by the relevant third-party platform.

You are solely responsible for the accuracy and legality of the information and content you provide, and you agree that we may rely on it without independent verification.

6. Authorization to Act on Your Behalf

By enrolling in the Services, you authorize MyProDirectory and its personnel and subcontractors to access, create, claim, verify, edit, and manage your business listings and profiles on the applicable third-party platforms for the purpose of performing the Services. You agree to grant, and to maintain, any access, manager permissions, or credentials reasonably necessary for us to perform the Services. You may revoke this authorization at any time by written notice, which may limit or end our ability to perform the Services.

7. Fees, Billing, and Taxes

• Fees. You agree to pay all fees described in your Service Agreement, order, or checkout summary. All fees are stated and payable in U.S. dollars unless otherwise specified.
• One-time services. Fees for one-time Services are billed upon enrollment or at the time of purchase.
• Recurring services. Fees for subscription or recurring Services are billed in advance on a recurring basis (for example, monthly) and will continue to renew automatically until the Service is canceled in accordance with the "Term, Renewal, and Cancellation" section of these Terms. By enrolling in a recurring Service, you authorize us and our payment processors to charge your designated payment method on each renewal date until you cancel.
• Payment method and authorization. You represent that you are authorized to use the payment method you provide, and you authorize us to charge that method for all fees incurred. We use third-party payment processors and do not store full payment card numbers ourselves.
• Late or failed payments. If a payment is declined or not received when due, we may suspend or terminate the Services, retry the charge, and pursue collection of amounts owed. You are responsible for any costs of collection, including reasonable attorneys' fees, to the extent permitted by law.
• Price changes. We may change our fees on a prospective basis. For recurring Services, we will provide advance notice of a price change, and the new price will apply to your next billing cycle after the notice period unless you cancel before then.
• Taxes. Fees are exclusive of applicable sales, use, and similar taxes, which are your responsibility unless we are legally required to collect them.

8. Term, Renewal, and Cancellation

• Term. These Terms apply for as long as you use the Website or the Services. Recurring Services continue for successive billing periods until canceled.
• Cancellation by you. You may cancel a recurring Service at any time by contacting us at support@myprodirectory.com or by following any cancellation instructions provided to you. Unless your Service Agreement states otherwise, cancellation takes effect at the end of the then-current billing period, and you will continue to have access to the Service through that period. Fees already billed are generally non-refundable except as stated in the "Refunds" section below.
• Suspension or termination by us. We may suspend or terminate your access to the Website or Services, in whole or in part, with or without notice, if you breach these Terms, fail to pay fees when due, use the Services unlawfully or in violation of a third-party platform's policies, or if we reasonably believe suspension or termination is necessary to protect us, our other clients, or any third party.
• Effect of termination. Upon termination, your right to use the Services ceases. Termination does not relieve you of the obligation to pay fees accrued before termination. Any provisions of these Terms that by their nature should survive termination — including those addressing fees and payment, refunds, intellectual property, disclaimers of warranties, limitation of liability, indemnification, governing law and dispute resolution, communications and consent, and the general provisions — will survive.

9. Refunds

Except where a refund is required by applicable law or expressly provided in your Service Agreement, fees are non-refundable. Because our Services involve work performed on your behalf and the use of third-party platforms, we generally do not provide refunds for Services already rendered, for setup or onboarding work, or for outcomes determined by third-party platforms. If you believe you are entitled to a refund, contact us at support@myprodirectory.com and we will review your request in good faith.

10. Intellectual Property

• Our property. The Website, the Services, and all related software, text, graphics, logos, designs, methodologies, templates, and other materials (excluding Client Content) are owned by or licensed to MyProDirectory and are protected by intellectual property and other laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Website and Services solely for your internal business purposes during the term, subject to these Terms.
• Client Content. You retain ownership of the business information, text, images, trademarks, and other content you provide to us ("Client Content"). You grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, publish, and distribute Client Content as necessary to perform the Services, including by submitting it to third-party platforms on your behalf.
• Feedback. If you provide suggestions or feedback about the Services, you grant us a perpetual, irrevocable, royalty-free license to use that feedback without restriction or compensation to you.
• Restrictions. You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Website or Services, except as expressly permitted by these Terms or applicable law.

11. Third-Party Platforms and Links

The Services interact with, and the Website may contain links to, third-party platforms and websites that we do not control. Your use of any third-party platform is governed by that platform's own terms and policies. We are not responsible for the content, policies, availability, or practices of any third party, and we make no warranties regarding them. Trademarks and brand names of third parties (such as Google) are the property of their respective owners, and our use of them is for identification and descriptive purposes only and does not imply endorsement, sponsorship, or affiliation.

12. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE WEBSITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE SPECIFICALLY DISCLAIM ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE OR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY PARTICULAR RESULT, RANKING, OR OUTCOME WILL BE ACHIEVED. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM US CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MYPRODIRECTORY AND ITS OWNERS, MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND SUBCONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR ANTICIPATED SAVINGS, ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SERVICES, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS, THE WEBSITE, OR THE SERVICES WILL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE LIABILITY.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.

14. Indemnification

You agree to indemnify, defend, and hold harmless MyProDirectory and its owners, members, officers, employees, agents, and subcontractors from and against any claims, demands, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your breach of these Terms; (b) the Client Content or the information you provide; (c) your violation of any law or of any third-party platform's policies; (d) your infringement or misappropriation of any third-party right; or (e) your use of the Website or Services.

15. Governing Law and Dispute Resolution

• Governing law. These Terms and any dispute arising out of or related to them or the Services are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles.
• Venue. Subject to any applicable arbitration provision, you agree that the exclusive jurisdiction and venue for any dispute will be the state and federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
• Informal resolution. Before filing any claim, you agree to first contact us at support@myprodirectory.com and attempt to resolve the dispute informally for at least thirty (30) days.
• Time to bring claims. To the extent permitted by law, any claim arising out of or related to these Terms or the Services must be brought within one (1) year after the claim accrues, or it is permanently barred.

16. Changes to These Terms

We may revise these Terms from time to time. When we do, we will update the "Last updated" date above and post the revised Terms on the Website. Material changes will be effective upon posting or on the date stated in the notice. Your continued use of the Website or Services after the revised Terms become effective constitutes your acceptance of them. If you do not agree to the revised Terms, you must stop using the Website and Services.

17. General Provisions

• Entire agreement. These Terms, together with your Service Agreement and our Privacy Policy, constitute the entire agreement between you and us regarding the Website and Services and supersede all prior agreements and understandings on the subject.
• Severability. If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• No waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets.
• Independent contractors. The parties are independent contractors. These Terms do not create any partnership, joint venture, agency, or employment relationship.
• Force majeure. We are not liable for any delay or failure to perform caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, internet or utility failures, or actions of third-party platforms or government authorities.
• Notices. We may provide notices to you by email to the address associated with your account or by posting on the Website. You may provide notices to us at support@myprodirectory.com.

18. Communications, Marketing, and Automated Outreach

By providing your contact information to us — including your name, email address, mailing address, and telephone number(s) — and by enrolling in the Services, you expressly consent to receive communications from MyProDirectory, from Your Verified Now LLC, and from our affiliates, brands, and authorized marketing and business partners (collectively, our "Partners"). These communications may include service and account messages as well as marketing and promotional offers regarding our products and services and those of our Partners.

Consent to automated communications. You expressly consent that we and our Partners may contact you at the telephone number(s) and email address(es) you provide using automated and assisted technologies, including automatic telephone dialing systems (autodialers), artificial intelligence (AI) voice agents, prerecorded or artificial voice messages, ringless voicemail, email, and text (SMS/MMS) messages. This consent applies even if your number is listed on any federal, state, or internal do-not-call registry. Consent to receive marketing communications by automated means is not a condition of purchasing any goods or services. Message and data rates may apply, and message frequency may vary.

Recording and opt-out. Your communications with us, including telephone calls, may be monitored or recorded for quality, training, and compliance purposes where permitted by law. You may opt out of marketing communications at any time: reply STOP to text messages, use the unsubscribe link in our emails, or contact us at support@myprodirectory.com or (833) 732-7776. After you opt out of marketing messages, we may still contact you with non-marketing messages relating to your account or the Services.

19. Company Information

MyProDirectory is a brand operated under Your Verified Now LLC, a limited liability company organized under the laws of the State of New Jersey. As used throughout these Terms, the names "MyProDirectory," "My Professional Directory," "we," "us," and "our" refer to Your Verified Now LLC and to the trade name (DBA) under which it conducts the Services described herein. The company maintains its principal place of business, and its designated address for the receipt of legal notices, at 74 Main Street, 3rd Floor, Woodbridge, New Jersey 07095.

In the ordinary course of providing the Services, the company may develop, license, acquire, or otherwise make use of proprietary methods, software, accounts, vendor and platform relationships, data, and other operational tools and resources, including certain tools and resources that were established, developed, or acquired by or through its affiliated and predecessor operations, and it may continue to utilize such tools and resources in connection with the Services. Nothing in this section limits or modifies the disclaimers, limitations of liability, or other provisions set forth elsewhere in these Terms.
